THE TERMS AND CONDITIONS OF Informant Media, LLC LAST REVISED JANUARY 11, 2016 ACCEPTANCE OF THE USE OF INFORMANT MEDIA, LLC TERMS AND CONDITIONS Your  access  to  and  use  of  Informant Media, LLC, or Informant.com, or Your Daily Intelligence, or Informant Social Media, herein referred to as “Informant Media, LLC and the Site and Services”; is  subject exclusively to these Terms and Conditions.  You will not use Informant Media, LLC and the Site and Services for any purpose that is unlawful or prohibited by these Terms and Conditions. By accessing use Informant Media, LLC and the Site and Services, whether as a visitor, registered user, or using any of the services provided by use Informant Media, LLC and the Site and Services, you are  fully  accepting  the  terms,  conditions  and disclaimers, including our Privacy Policy, contained in this Agreement. If you do not accept these Terms and Conditions you must immediately stop using use Informant Media, LLC and the Site and Services.  Furthermore, by using use Informant Media, LLC and the Site and Services, you represent and warrant that you are at least eighteen (18) years of age. CREDIT CARD DETAILS Informant Media, LLC and Site and Services will never ask for your credit card details and we advise our customers to not enter their credit cards details on Informant Media, LLC and Site and Services or by submitting such details in any other form. LEGAL ADVICE The contents of Informant Media, LLC and Site and Services do not constitute advice and should not be relied upon in making or refraining from making, any decision.  All material contained on Informant Media, LLC and Site and Services is provided without any or warranty of any kind. You use the material on Informant Media, LLC and Site and Services at your own discretion. CHANGE OF USE Informant Media, LLC and Site and Services reserves the right to change or remove (temporarily or permanently) the Informant Media, LLC and Site and Services or any part of it without notice and you confirm that Informant Media, LLC and Site and Services shall not be liable to you for any such change or removal and change to these Terms and Conditions at any time, and your continued use of Informant Media, LLC and the Site and Services following any changes (as notated by the ‘Last Revised’ date at the top of this Agreement) shall be deemed to be your acceptance of this Agreement and such changes. YOUR USE OF SITE AND SERVICES The Content on Informant Media, LLC and the Site and Services and used by Informant Media, LLC and the Site and Services, and their trademarks, service marks and logos on Informant Media, LLC and the Site and Services, are owned by, registered or unregistered by, or licensed to Informant Media, LLC and the Site and Services, subject to copyright and other intellectual property rights under the law.   Through use of Informant Media, LLC and the Site and Services, you are in compliance with the guidelines set forth in this Agreement, as well as general Community Guidelines, including but not limited to: all local, state, national and international laws, rules and regulations. You will not use Informant Media, LLC and the Site and Services for purposes that can be deemed: illegal, infringing, defamatory, abusive, harassing or in any manner that is otherwise objectionable, including hate speech, slander, hate crimes or violence, as determined by Informant Media, LLC and the Site and Services in its sole and absolute discretion.  You will not use Informant Media, LLC and the Site and Services to email unsolicited spam, or to hack, transmit viruses, bugs, Trojan horses or any other code, files or programs capable of damaging the functionality of Informant Media, LLC and the Site and Services, or its infrastructure. You will not use Informant Media, LLC and the Site and Services for commercial use, unless solely expressed by written consent by Informant Media, LLC. YOUR CONTENT Should you choose to engage with Informant Media, LLC and the Site and Services via third party platforms, (for example “liking” or “commenting” or using Informant Media, LLC and the Site and Services’ associated “hashtags”), you hereby warrant that your content is solely your own or you have the appropriate distribution rights, in writing, to share such content without violating any third party. COPYRIGHT All  copyright,  trade  marks  and  all  other  intellectual  property  rights in Informant Media, LLC and the Site and Services and its content (including without limitation the Site and Services design, text including articles, graphics, software and source codes, scripts, photos, videos, music, sounds, and interactive features connected with the Site and Services) are owned by or licensed to Informant Media, LLC and Site and Services or otherwise used by Informant Media, LLC and Site and Services as permitted by law in perpetuity, and are subject to copyright, trademark or other intellectual property rights as administered by United States and foreign laws.  In accessing Informant Media, LLC and the Site and Services you agree that you will access the content solely for your personal, non-commercial use. None of the content may be downloaded, copied, reproduced, transmitted, stored, sold, transmitted, broadcast, licensed, displayed or distributed without the prior written consent of Informant Media, LLC. This excludes the downloading, copying and/or printing of pages of Informant Media, LLC and the Site and Services for personal, non-commercial home use only.   If you violate any of these terms, your permission to access and/or Informant Media, LLC and the Site and Services automatically terminates and all content copies breaching these terms must be eliminated. LINKS TO AND FROM OTHER SITE AND SERVICESS Throughout this Informant Media, LLC and the Site and Services you may find links to third party sites and services. The provision of a link to such sites and services does not mean that we endorse those sites and services. If you visit any sites and services via a link on Informant Media, LLC and the Site and Services you do so at your own risk.  Any party wishing to link to these sites and services is entitled to do so provided that the conditions below are observed;(a) you do not seek to imply that we are endorsing the services or products of another party unless this has been agreed with us in writing; (b) you do not misrepresent your relationship with these sites and services; and (c) the sites and services from which you link to Informant Media, LLC and the Site and Services does not contain offensive or otherwise controversial content or, content that infringes any intellectual property rights or other rights of a third party.  By linking to this Informant Media, LLC and the Site and Services in breach of our terms, you shall indemnify us for any loss or damage suffered to this Informant Media, LLC and the Site and Services as a result of such linking. DISCLAIMERS AND LIMITATION OF LIABILITY The Informant Media, LLC and the Site and Services are provided on an AS IS and AS AVAILABLE basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.   Informant Media, LLC and the Site and Services and its components are offered for informational purposes only; Informant Media, LLC and the Site and Services shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the site, and shall not be responsible or liable for any error or omissions in that information.  Informant Media, LLC and the Site and Services reserves the right to correct errors or omissions in the services provided. To the extent permitted by law, Informant Media, LLC and Site and Services will not be liable for any indirect or consequential loss or damage whatever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of Informant Media, LLC and the Site and Services, whether incidental, indirect, consequential, punitive, special or exemplary.  Any claim against Informant Media, LLC and the Site and Services shall be limited to the amount you paid, if any, for use of the Services.  Informant Media, LLC and Site and Services makes no warranty that the functionality of Informant Media, LLC and the Site and Services will be uninterrupted or error free, that defects will be corrected or that Informant Media, LLC and the Site and Services or the server that makes it available are free of viruses or anything else which may be harmful or destructive.  Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of Informant Media, LLC and Site and Services for death or personal injury as a result of the negligence of Informant Media, LLC and Site and Services or that of its employees or agents.   Use of Informant Media, LLC and the Site and Services is solely at your own risk. LIMITATION OF LIABILITY IN CERTAIN STATES CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.  IN SUCH STATES, OUR LIABILITY AND THAT OF OUR THIRD PARTY CONTENT PROVIDERS AND OUR AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. INDEMNITY You agree to indemnify and hold Informant Media, LLC and the Site and Services and its employees, affiliates, managers, shareholders, and agents harmless from and against all liabilities, legal fees, damages, losses, costs claims, demands, disputes, and other expenses in relation to any claims or actions brought against Informant Media, LLC and the Site and Services arising out of any breach by you of these Terms and Conditions or other liabilities arising out of your use of Informant Media, LLC and the Site and Services.  Should such an occasion arise, you will cooperate with Informant Media, LLC and the Site and Services per our request.   SEVERANCE If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable. WAIVER If you breach these Conditions of Use and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Conditions of Use. GOVERNING LAW These Terms and Conditions shall be governed by and construed in accordance with the law of USA and you hereby submit to the exclusive jurisdiction of the USA courts. BINDING ARBITRATION All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of New York.  You hereby consent to waive the right to trial by jury in any such action or proceeding.  The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and reasonable attorneys' fees. Any such arbitration shall be conducted by an arbitrator experienced in Internet commerce and shall include a written record of the arbitration hearing. The parties reserve the right to object to any individual who shall be employed by or affiliated with a competing organization or entity.  Should the parties not agree upon a single arbitrator within thirty (30) days after demand by either party, each party shall select one arbitrator experienced in Internet commerce in the state of New York and the two selected arbitrators will select a third party that is experienced in Internet commerce in the state of New York that is qualified by the American Arbitration Association in New York state.  The experienced selected arbitrator will conduct a hearing within ninety (90) days after selection.  An award of arbitration may be confirmed by the experienced selected arbitrator (or a majority decision of the arbitrators if there is more than one), which shall be binding upon the parties involved and shall not be appealable to any court in jurisdiction and no involved party will have the right to have a jury trial. The award shall be delivered within ten (10) days after the arbitrator’s decision has been made. Both parties will share the costs of the arbitrators split equally. CLASS ACTION WAIVER Class Action Waiver Arbitration shall proceed solely on an individual basis without the right for any Claims to be arbitrated on a class action basis or on bases involving claims brought in a purported representative capacity on behalf of others. The arbitrator's authority to resolve and make written awards is limited to Claims between you and us alone. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration nor on behalf of the general public or any other persons. TITLES AND HEADINGS The titles and headings of this Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein.  If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law. GENERAL Should we have reason to believe that your use of the Informant Media, LLC and the Site and Services, including but not limited to your direct use on the Site, as well as on third party sites, do not comply with these outlined Terms and Conditions and Privacy Policy, or threatens the stability of its network, Informant Media, LLC and the Site and Services reserves the right, at its sole and absolute discretion, to terminate a User’s access to the Informant Media, LLC and the Site and Services and/or remove any item of third-party platform activity that is in direct violation of this Agreement. If termination occurs, Informant Media, LLC and the Site and Services reserves the right, at its sole and absolute discretion, to remove and destroy all user associated data and files on its servers. PRIVACY POLICY LAST REVISED: JANUARY 11, 2016 Informant Media, LLC and the Site and Services respects your privacy. By accessing Informant Media, LLC and the Site and Services, whether as a visitor, registered user, or using any of the services provided by Informant Media, LLC and the Site and Services, you are  fully  accepting  the  terms,  conditions  and disclaimers, including our Terms of Service, contained in this Agreement.  Any personal information you provide to us including and similar to your name, address, telephone number and e-mail address  collectively your ‘Personal Information’, will not be released, sold, or rented to any entities or individuals outside of Informant Media, LLC and the Site and Services.  Ensuring accuracy of said ‘Personal Information’ is your responsibility upon submission to Informant Media, LLC and the Site and Services. CREDIT CARD DETAILS Informant Media, LLC and the Site and Services will never ask for Credit Card details and request that you do not enter it on any of the forms on Informant Media, LLC and the Site and Services. EXTERNAL SITES Informant Media, LLC and the Site and Services are not responsible for the content of external internet sites. You are advised to read the privacy policy of external sites before disclosing any personal information. COOKIES A "cookie" is a small data text file that is placed in your browser and allows Informant Media, LLC and the Site and Services to recognize you each time you visit or use the Informant Media, LLC and the Site and Services. Cookies themselves do not contain any personal information, and Informant Media, LLC and the Site and Services do not use cookies to collect personal information. Cookies may also be used by 3rd party content providers such as newsfeeds.  Other technologies such as web beacons may also be used to customize your experience on the Site and Services or via our Services.   REMEMBER THE RISKS WHEN YOU USE THE INTERNET While we do our best to protect your personal information, we cannot guarantee the security of any information that you transmit to Informant Media, LLC and the Site and Services and you are solely responsible for maintaining the secrecy of any passwords or other account information. In addition other Internet sites or services that may be accessible through Informant Media, LLC and the Site and Services have separate data and privacy practices independent of us, and therefore we disclaim any responsibility or liability for their policies or actions.  Please contact those vendors and others directly if you have any questions about their privacy policies. EMAIL CORRESPONDENCE Informant Media, LLC and the Site and Services are granted permission to use your provided email address to send Your Daily Intelligence, the Informant’s Daily News email, as well as other notices to your email, including promotional (for example new product offerings).   You are solely responsible for maintaining that the email address you provide is, and remains, valid.  Emails received from Informant Media, LLC and the Site and Services may contain code and/or tags that track usage of the emails we send, including but not limited to, opens and link click throughs (if any links within the email were clicked on).  If you would like to stop receiving emails from Informant Media, LLC and the Site and Services, you may do so by selecting Unsubscribe and following the instructions provided, or by contacting us directly via our Contact Information at the bottom of this Agreement.  It may take up to fourteen days (14) for us to process the opt out subscription.  Transactional emails may continue as they relate to your account, as deemed necessary by our Team. CHILDREN UNDER THE AGE OF THIRTEEN (13) Informant Media, LLC and the Site and Services do not under any circumstances knowingly solicit, collect, or accept Personal Information from any person under the age of 13.  If you are a person under the age of 13, please do not provide your Personal Information to Informant Media, LLC and the Site and Services, as this is directly against compliance to our Terms and Conditions.  Informant Media, LLC and the Site and Services encourages parents and legal guardians to help enforce our Terms and Conditions and Privacy Policy by advising underage persons to never provide Personal Information to Informant Media, LLC and the Site and Services without their permission. Should we have reason to believe, at our sole discretion, that you are under the age of 13, we will make an effort to delete your Personal Information from our Services. COPYRIGHT INFRINGEMENT Informant Media, LLC and the Site and Services will (a) block access to remove material that it believes to be copyrighted that has been illegally copied and distributed by Informant Media, LLC and the Site and Services or Users; and (b) remove and discontinue service to repeat offenders. If you believe that your intellectual property rights have been infringed upon, please notify the Informant Media, LLC and Site and Services Team for next steps to address this issue via email or regular mail by using the contact information listed at the end of this Agreement.
